Agreement to Terms
These Terms govern your access to the Hey Ida website, request-access and pre-release programs, Mac application, and related services (collectively, the “Services”). Ida is operated by PRISM19, INC. By requesting access to, accessing, or using the Services, you agree to these Terms and the Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Services.
Using Ida
You must be at least 18, or the age of legal majority where you live, and legally able to accept these Terms. The Services may be offered through a limited preview or beta; requesting access does not guarantee admission or general availability. If access is granted, PRISM19 gives you a limited, personal, revocable, non-exclusive, non-transferable license to use the Services on compatible Apple devices you control. AI and speech outputs may be inaccurate or incomplete. You are responsible for reviewing outputs and proposed actions, maintaining required accounts and permissions, and safeguarding your Mac, credentials, API keys, and connected services. Do not rely on pre-release Services for emergencies, safety-critical activity, regulated records, or uses where failure could cause significant harm.
Acceptable Use
You may not use the Services unlawfully, fraudulently, to harm others, or to violate another person’s rights; access, disclose, alter, or send information without authorization; bypass confirmations, access controls, limits, or security features; probe, disrupt, overload, or gain unauthorized access to the Services or supporting systems; copy, rent, sell, sublicense, or distribute the Services without permission; reverse engineer the Services except where applicable law expressly permits it; or use the Services or their output to develop or train a competing model or service without written permission. You retain ownership of content you provide and grant PRISM19 only the limited rights needed to operate, secure, support, and enforce the Services. You are responsible for having all rights and permissions required for that content and every account or service you direct the Services to access.
Agent Actions on Your Device
The Services may propose actions on your device or connected services. You must review and approve each proposed action before it is taken, and you are solely responsible for the outcomes of actions you approve or direct. PRISM19 disclaims liability for data loss, data corruption, or unintended system changes arising from use of the Services. We recommend maintaining current backups of your device and data.
API Keys and Costs (BYOK)
If you use an Anthropic API key with the Services, you supply and control that key, must comply with Anthropic’s applicable usage policies, and are solely responsible for all usage charges. This includes charges generated by multi-turn agent loops. PRISM19 does not monitor, cap, or guarantee spend associated with your API key.
Recording and Consent
You are responsible for obtaining any consent required by law before recording another person or capturing their voice or information. Some jurisdictions require the consent of all parties to a recording. PRISM19 disclaims liability for your failure to obtain required consent.
How Ida Processes Input
Dictation and transcription are processed locally on your device using on-device whisper.cpp. Agent requests and screen captures are transmitted to Anthropic to provide agent functionality. Ida monitors keyboard events solely to detect configured shortcuts and does not log or transmit keystrokes.
Our Intellectual Property
PRISM19 retains all rights, title, and interest in and to the Services, including the application, software, design, documentation, trademarks, and the Ida name. All rights not expressly granted in these Terms are reserved.
Output Ownership
PRISM19 claims no ownership of AI outputs generated through the Services. Outputs are subject to the applicable AI provider’s terms and policies through your own API key.
Feedback
If you provide feedback, ideas, or suggestions about the Services, you grant PRISM19 a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and otherwise exploit them without obligation or compensation to you.
Indemnification
You will indemnify, defend, and hold harmless PRISM19 and its affiliates, licensors, providers, employees, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to your misuse of the Services, your content, or actions you direct the agent to take on third-party systems.
Disclaimers and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDA IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED OPERATION. PRISM19 does not control and is not responsible for third-party services. To the maximum extent permitted by law, PRISM19 and its affiliates, licensors, providers, employees, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, data, or opportunity. Their total liability for all claims related to Ida will not exceed the greater of the amount you paid for Ida in the preceding 12 months or US$100. These limits do not apply where prohibited or to liability that cannot legally be limited. These Terms are governed by California law, without regard to conflict-of-law rules, except where the law where you live requires otherwise. The state and federal courts located in San Francisco County, California, have exclusive venue for any dispute arising out of or relating to these Terms or the Services. No mandatory arbitration clause or class-action waiver applies under these Terms.
Termination by You
You may stop using the Services and delete the Ida application at any time. Deleting the application removes data stored locally by the application on your device; data held by third-party providers remains subject to their terms, retention practices, and your account settings.
Export and Sanctions Compliance
You must comply with all applicable export-control, trade, and economic-sanctions laws and may not use, export, re-export, or transfer the Services in violation of them.
Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. These Terms are the entire agreement between you and PRISM19 regarding the Services and supersede prior agreements on that subject. A waiver is effective only if in writing and does not waive future enforcement. Notices to you may be provided through the Services, your account, or by other reasonable means. You may not assign these Terms without PRISM19’s consent; PRISM19 may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
Changes to These Terms
PRISM19 may add, modify, suspend, or discontinue Ida features and may suspend access for material breach, misuse, nonpayment, legal risk, or security reasons. PRISM19 may update these Terms prospectively; material changes will be reflected here with an updated date and any notice required by law. If you do not agree to updated Terms, stop using Ida. Provisions that by their nature should survive termination will survive.
